1. The agreement

These Terms of Service (“Terms”) are between Agentic Flow LLC, a Texas, United States limited liability company (“Agentic Flow”, “we”, “us”), and the business or organisation that creates a TrulyFinal account (“Customer”, “you”). If you accept these Terms on behalf of a business, you confirm you have authority to bind it.

TrulyFinal is intended for business use. You confirm that you are using it for your trade, business or profession and not as a consumer. Our Privacy Policy and, where it applies, ourData Processing Addendum (“DPA”) form part of these Terms.

2. The Service

TrulyFinal (the “Service”) lets studios upload proofs (PDF, PNG, JPEG, TIFF and WebP files up to 2 GB each), invite clients to review them by link, collect comments, markup and decisions, keep an approval record of each approval, send reminders and digests by email, and deliver approved files by link.

We may improve, change or remove features over time. If we remove a feature that is material to the plan you pay for, we will give you reasonable notice. Specific limits (such as storage, seats or projects) are those shown for your plan at the time of purchase.

3. Accounts

  • You must give accurate account information and keep it up to date.
  • You are responsible for your team members’ use of the Service and for keeping sign-in details secure. Tell us promptly at support@trulyfinal.com if you suspect unauthorised access.
  • You must be at least 18 years old and able to enter into a binding contract.

4. Clients and reviewers

Your clients and other reviewers (“Reviewers”) do not need an account. They access reviews through the links you send and give a name and email address before commenting. Anyone with a review or delivery link can access what it shares, so you are responsible for choosing who receives links. You are responsible for Reviewers’ use of the Service on your behalf, and for having the right to share your content with them and to give us their contact details so we can email them for you.

5. Trials, plans and billing

Free trial

New workspaces get a 14-day free trial. No payment card is needed to start. If the trial ends without a paid plan, your workspace becomes read-only (see below).

Plans and prices

Prices are in US dollars, per workspace:

PlanBilled yearlyBilled monthly
Studio$79 / month$99 / month
Agency$179 / month$219 / month
Agency Pro$329 / month$399 / month

Yearly plans are charged in advance for the year. Prices exclude taxes; sales tax, VAT or similar taxes may be added at checkout where applicable. We may change prices for future billing periods with at least 30 days’ notice; the change applies from your next renewal.

Renewal and payment

Subscriptions renew automatically at the end of each monthly or yearly period until cancelled. You authorise us and our payment processor, Stripe, to charge your payment method for each renewal. If a payment fails, we may retry it and, if it still fails, suspend paid features.

Cancellation and refunds

You can cancel at any time from the billing portal in the app. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees are non-refundable and we do not give refunds or credits for partial periods, unused features or downgrades, except where required by law.

Read-only workspaces

If a trial ends without a plan or a subscription lapses, the workspace becomes read-only: your data is kept and you can still view and export it, but you cannot start new reviews. We delete the data of a workspace that has been closed or read-only for 90 days, as described in ourPrivacy Policy.

6. Your content

You own your content. “Customer Content” means the files, comments, markup, branding and other material you, your team or your Reviewers submit to the Service. As between you and us, you keep all rights in it.

You grant Agentic Flow a worldwide, non-exclusive, royalty-free licence to host, store, copy, render, transmit, display and otherwise process Customer Content only as needed to provide, secure and support the Service for you, and as required by law. This licence ends when the content is deleted from the Service, except for copies in backups that roll off on our normal schedule.

You are responsible for your Customer Content and confirm you have all rights and permissions needed to upload it and share it with your Reviewers. You are responsible for keeping your own copies of important files; the Service is not a backup or archive service.

7. Acceptable use

You must not, and must not let anyone else:

  • upload or share content that is illegal, infringes anyone’s intellectual property or privacy rights, or is defamatory, harassing or sexually exploitative of minors;
  • upload malware, viruses or any code designed to harm systems or data;
  • use the email features (invitations, reminders, digests) to send spam, unsolicited marketing, phishing or messages to people who have no connection to your work;
  • try to gain unauthorised access to the Service, other accounts or our systems, or probe, scan or test their vulnerability without our written permission;
  • interfere with or overload the Service, or get around usage limits or security measures;
  • reverse engineer the Service, except to the extent the law allows despite this restriction;
  • resell or provide the Service to third parties as a standalone product, or use it to build a competing product; or
  • use the Service in breach of any applicable law, including export control and sanctions laws.

We may remove content or suspend access that we reasonably believe breaches this section. Where practical we will tell you first and give you a chance to fix the issue.

8. Approval records

Each approval in TrulyFinal produces an append-only, hash-chained approval record showing who approved, when, which version and a SHA-256 fingerprint of the approved file, together with any open comments. Approval records are business records designed to help you and your clients agree on what was approved.

TrulyFinal is not an electronic signature service. Approval records are not qualified or advanced electronic signatures, and we make no promise that an approval record will satisfy any particular legal formality. If a document must be signed in a specific way, use a dedicated signature process. Reviewer identity is based on the name and email address the Reviewer gives; we do not verify identity.

9. Privacy and data protection

Our Privacy Policy explains how we handle personal data. For personal data in Customer Content and about your Reviewers, you are the controller and we are your processor. OurData Processing Addendum is incorporated into these Terms and applies automatically whenever we process personal data on your behalf that is subject to data protection laws such as the EU GDPR, UK GDPR or CCPA. You do not need to sign anything separately; if you need a countersigned copy, email hello@trulyfinal.com.

10. Our intellectual property

We own the Service, including the software, design, the TrulyFinal name and logos. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.

11. Third-party services

The Service relies on third-party providers such as Cloudflare, Neon and Stripe (see oursubprocessor list). Payment processing is subject to Stripe’s terms. We are not responsible for third-party services you choose to connect to or use alongside TrulyFinal.

12. Suspension and termination

  • You can stop using the Service and cancel your subscription at any time. You can ask us to close your account and delete your data by emailing support@trulyfinal.com.
  • We may suspend or terminate your access immediately if you materially breach these Terms (including the acceptable use rules), fail to pay, or if your use creates a security or legal risk to us or others.
  • We may also stop offering the Service on at least 60 days’ notice, in which case we will refund any prepaid fees for the period after termination.
  • After termination, your workspace becomes read-only or is closed, and your data is deleted as described in our Privacy Policy. Export anything you need before then.
  • Sections that by their nature should survive termination (including payment owed, Customer Content responsibilities, disclaimers, limitation of liability, indemnity and governing law) survive.

13. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, Agentic Flow disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components, or that colour, rendering or previews will exactly match final output in print or on other devices.

You are responsible for checking proofs and approved files before you or your clients rely on them, including before sending work to print or production.

14. Limitation of liability

To the fullest extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if advised of the possibility; and (b) Agentic Flow’s total liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to us for the Service in the 12 months before the event giving rise to the claim.

These limits do not apply to your payment obligations, your indemnity obligations, or liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify Agentic Flow and its members, employees and contractors against any third-party claim, and the resulting losses, damages, fines and reasonable legal costs, arising from your Customer Content, your or your Reviewers’ use of the Service in breach of these Terms, or your breach of law. We will tell you promptly about any claim, let you control its defence, and give you reasonable help at your cost. You may not settle a claim in a way that imposes obligations on us without our consent.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and change the date at the top. For material changes, we will give workspace owners at least 30 days’ notice by email or in the app before they take effect. If you do not agree, you can cancel before the change takes effect; continuing to use the Service after that means you accept the updated Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts located in Texas have exclusive jurisdiction over any dispute arising from these Terms, and both parties consent to that jurisdiction. Before starting proceedings, we each agree to try to resolve the dispute informally by contacting the other in writing and negotiating in good faith for 30 days.

18. General

  • Entire agreement. These Terms, the Privacy Policy and the DPA are the entire agreement between us about the Service and replace any earlier understanding. If they conflict, the DPA prevails for data protection matters.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (other than payment obligations).
  • Notices. We send notices to the email address of your workspace owner. You can send notices to hello@trulyfinal.com.
  • Severability and waiver. If any part of these Terms is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
  • Independent parties. We are independent contractors; nothing here creates a partnership, agency or employment relationship.
  • Publicity. We will not use your name or logo in our marketing without your permission.
